UrbanMoto.eu
UrbanMoto.eu platform terms for workshops
Proposed by the operator, pending counsel review.
These terms are the contract between the operator and the workshop that uses the UrbanMoto.eu platform (the "Workshop").
1. Parties
Operator:
SERVBG Ltd (СЕРВБГ ООД)
Registration number (EIK): 200905066
VAT number: BG200905066
Address: 1233 Sofia, Bulgaria
Country: Bulgaria
E-mail: [email protected]
Workshop: the business named in the application to join, with the data entered there and in its account settings.
2. Conclusion
The Workshop applies at urbanmoto.eu/join and accepts these terms with a tick box; the accepted version and the time are recorded. The contract is concluded when the operator approves the application and sends the sign-in invitation. The person applying declares that they are entitled to represent the Workshop.
3. The service
The operator provides access to the platform as a service: the Workshop's public pages, online booking, work orders, customer notifications, invoicing, stock and reports, within the scope of the chosen plan. The operator may develop and change features without materially reducing the agreed scope.
4. Trial
A new Workshop uses the platform free of charge for 90 days from the approval of its application; no fees are due during the trial period. Before the trial ends the operator contacts the Workshop to choose a plan. If no plan is agreed, the operator may suspend access after the trial under section 9.
5. Price and payment
The plan and the fees are those agreed in writing when the Workshop subscribes (the operator's offer or order confirmation) and in later price notices under this section. The operator issues an invoice for each period; payment is by bank transfer within the term stated on the invoice. The platform does not charge cards automatically. The price may change for a following period with written notice of at least 30 days.
6. Personal data
For its customer, booking, order and invoice data the Workshop is the controller and the operator is the processor. The operator is the controller of the platform accounts themselves (sign-in and identity data of the Workshop's staff and of customers with a "My garage" account). The data processing agreement (DPA) that the operator publishes and the Workshop accepts in its admin area is an integral part of these terms; on data protection matters it prevails in case of conflict. The Workshop publishes its own legal texts (privacy notice, terms) on its pages and is responsible for their content.
7. The Workshop's obligations
The Workshop enters true data about itself, its services and prices; is responsible for the work it performs, for its relations with its customers, for the documents it issues through the platform and for its tax and accounting obligations; keeps its staff's access safe and removes the access of staff who leave; does not use the platform for unlawful purposes or for bulk unsolicited messages.
8. Availability and support
The operator makes reasonable efforts to keep the platform available without interruption, makes regular backups and announces planned maintenance in advance where possible. Support is by e-mail at [email protected] on working days.
9. Suspension
The operator may suspend the Workshop's access for non-payment after a written reminder and a 14-day period, for a serious breach of section 7, or where the law requires it. The public pages and booking may be suspended; the Workshop's data is kept and access is restored once the cause is removed.
10. Term and termination
The contract has no fixed term. Either party may terminate it with 30 days' written notice by e-mail. Either party may terminate it without notice for a material breach not remedied within 14 days of written notice.
11. Data on termination
Within 30 days after termination the Workshop may ask for its data, and the operator hands it over in a common machine-readable format (CSV or JSON) together with the issued documents as PDF. The Workshop keeps its own accounting documents for the periods required by the Bulgarian Accountancy Act. 90 days after termination the operator deletes or anonymises the Workshop's data, except data it must keep by law; backups are overwritten in the normal cycle.
12. Liability
Each party is liable for damage caused intentionally or by gross negligence. Beyond that, the operator's liability is limited to the fees the Workshop paid in the preceding 12 months, and not less than EUR 100, and excludes lost profits and indirect damage. The operator is not liable for content the Workshop enters, nor for the contracts between the Workshop and its customers.
13. Confidentiality and intellectual property
The parties keep confidential the business information they learn about each other. The software and the UrbanMoto brand belong to the operator; the Workshop receives a non-exclusive right of use for the term of the contract. The Workshop's data and content remain its own.
14. Changes to these terms
The operator notifies the Workshop by e-mail of a new version of these terms at least 30 days before it takes effect. If the Workshop does not agree, it may terminate the contract before the new version takes effect without penalty.
15. Governing law and disputes
Bulgarian law applies. Disputes not settled by negotiation are decided by the competent court in the Republic of Bulgaria.
